General Terms and Conditions

Scope of Application

These terms and conditions apply to all purchases made by private customers from Anneli [Link to "Legal Notice"].

For the purposes of these terms, private customers are individuals residing and having a delivery address in the Federal Republic of Germany, provided the goods ordered cannot be attributed to their commercial or self-employed professional activities.

Business customers are requested to place orders via the order pages accessible through the business customer login [Link to business customer login].

Conclusion of Contract

The presentation of our goods and the provision of the opportunity to place an order constitute a concrete offer on our part to conclude a purchase contract.

By placing an order, you accept the offer, and the purchase contract is concluded.

You will receive an order confirmation via email at the email address you provided.

Prices and Shipping Costs

The listed prices are final prices, including VAT. The applicable amount is the one displayed at the time the binding order is placed. Shipping costs are added to this amount; these depend on the shipping method as well as the size and weight of the goods ordered. You can find details at [Link to "Shipping Costs"]. We bear the standard costs of return shipment incurred if you return the goods while exercising your right of withdrawal [Link to "Right of Withdrawal"]. We will also refund the shipping costs upon the exercise of your right of withdrawal.

Payment

Payment is made upon delivery via:

- Amazon Pay

- Apple Pay

- Credit card

- Direct debit

- Advance payment

- PayPal

Default in Payment

If you are in default of payment, Anneli is entitled to claim default interest at a rate of 5 percentage points above the base interest rate p.a. announced by the Deutsche Bundesbank for the time the order was placed. If Anneli incurs demonstrable damages exceeding this amount due to the delay, Anneli is entitled to claim such damages.

Right of Retention

The customer is entitled to exercise a right of retention only insofar as their counterclaim is based on the same contractual relationship.

Delivery

(1) Delivery is made to the delivery address specified by the customer within:

- Germany

- Poland

- Czech Republic

- Switzerland

- France

- Luxembourg

- Belgium

- Netherlands

- Europe

- England, USA, UAE.

(2) If force majeure (natural disasters, war, civil war, terrorist attacks) renders delivery or any other performance permanently impossible, Anneli is released from the obligation to perform. Any amounts already paid will be refunded by Anneli without delay.

(3) Anneli may also refuse performance if it requires an effort that—taking into account the terms of the sales contract and the principles of good faith—is grossly disproportionate to the customer's interest in the fulfillment of the sales contract. Any amounts already paid will be refunded by Anneli without delay.

(4) Bulky goods (parcels with a volume exceeding 1 cubic meter) are generally delivered by a freight forwarder. Anneli expressly points out that such goods will not be carried into the building.

Cost-effective shipping method for returns

(1) When returning goods and accessories, please use the original packaging whenever possible, even if it has been damaged by opening the package to inspect the product.

(2) Please use the fully stamped and addressed return label included with the delivery for the return. This is the simplest and most cost-effective shipping option. You are under no obligation to use this specific return method. However, if you choose an unnecessarily expensive shipping method, you may be required to pay us the additional costs incurred compared to a low-cost shipping method.

Retention of Title

The delivered goods remain the property of Anneli until all claims against the customer arising from the purchase contract have been settled in full. As long as this retention of title remains in effect, the customer may neither resell nor otherwise dispose of the goods; in particular, the customer may not contractually grant third parties any right to use the goods.

Rights Regarding Defects

(1) In the event of a product being defective upon delivery (warranty claim), Anneli will—at the customer's discretion and at Anneli's expense—either replace the product with a non-defective one or have it professionally repaired (subsequent performance). The customer is advised that no warranty claim exists if the product possessed the agreed quality at the time the risk passed. A warranty claim does not exist, in particular, in the following cases:

a) in the event of damage caused by the customer through misuse or improper use,

b) in the event of damage caused by ...are that the products have been exposed to harmful external influences while in the customer's possession (in particular extreme temperatures, humidity, extraordinary physical or electrical stress, voltage fluctuations, lightning strikes, static electricity, or fire).

(2) Furthermore, Anneli provides no warranty for any defect caused by improper repair performed by a service partner not authorized by the manufacturer.

(3) If the method of supplementary performance requested by the customer (replacement delivery or repair) entails an effort that is grossly disproportionate to the customer's interest in performance—taking into account the product price, the terms of the contract, and the principles of good faith, and specifically considering the value of the item in a defect-free state, the significance of the defect, and whether the alternative method of supplementary performance could be utilized without significant disadvantage to the customer—then the customer's claim shall be limited to the alternative method of supplementary performance. Anneli’s right to refuse this alternative method of supplementary performance under the aforementioned conditions remains unaffected.

(4) In the event of either repair or replacement delivery, the customer is obliged to send the product to the return address specified by Anneli, quoting the order number, at Anneli’s expense. Prior to shipment, the customer must remove any items they have inserted into the product. Anneli is under no obligation to inspect the product for the presence of such items. Anneli shall not be liable for the loss of such items unless it was immediately apparent to Anneli upon receipt of the product that such an item had been inserted (in which case Anneli shall inform the customer and hold the item ready for collection by the customer; the customer shall bear any costs incurred thereby). Before sending a product in for repair or replacement, the customer is also required—where applicable—to create separate backups of the system software, applications, and all data contained on the product onto a separate storage medium and to deactivate all passwords. No liability is assumed for data loss. Likewise, after the repaired or replacement product has been returned to the customer, it is the customer's responsibility to reinstall the software and data and to reactivate the passwords.

(5) If the customer sends in the goods to obtain a replacement product, the return of the defective product is subject to the following provisions: If the customer was able to use the goods in a defect-free condition between delivery and return, the customer must reimburse the value of the benefits derived from such use. The customer must provide compensation for the value of the goods in the event of their destruction or further deterioration—or the impossibility of returning them—occurring between delivery and return, provided such events were not caused by the defect itself. The customer is not required to provide compensation for deterioration resulting from the intended use of the goods. Furthermore, the obligation to provide compensation for value does not apply to the return of a defective product under warranty if:

a) the defect justifying withdrawal from the contract only became apparent during processing or transformation of the goods,

b) Anneli is responsible for the deterioration or destruction, or if the damage would have occurred even if the goods had been in Anneli’s possession,

c) the deterioration or destruction occurred while the goods were in the customer's possession, despite the customer exercising the same degree of care they customarily apply to their own affairs.

(6) The customer's liability for damages in the event of a breach of the obligation to return the goods—where the customer is responsible for such breach—is governed by statutory provisions. (7) The customer may, at their discretion, withdraw from the contract or reduce the purchase price if the repair or replacement delivery has not resulted in the product conforming to the contract within a reasonable period.

(8) Furthermore, claims against the manufacturer may exist under a warranty granted by the manufacturer; such claims are governed by the applicable warranty terms.

(9) Anneli’s statutory warranty expires two years after delivery of the goods. This period commences upon receipt of the goods.

Liability

(1) In cases of slight negligence, Anneli shall be liable only for the breach of material contractual obligations and limited to foreseeable damage. This limitation does not apply to injury to life, body, or health. Anneli shall not be liable for other damage caused by slight negligence resulting from a defect in the purchased item.

(2) Regardless of any fault on the part of Anneli, Anneli’s liability remains in the event of fraudulent concealment of the defect or unaffected by the assumption of a guarantee. The manufacturer's warranty is a warranty provided by the manufacturer and does not constitute an assumption of a guarantee by Anneli.

(3) Anneli is also liable for the impossibility of delivery occurring by chance during the period of its default, unless the damage would have occurred even if delivery had been made on time.

(4) Personal liability on the part of Anneli’s legal representatives, agents, and employees for damages caused by them through slight negligence is excluded.

Applicable Law

The contract concluded between you and Anneli is governed exclusively by the law of the Federal Republic of Germany, expressly excluding the UN Sales Convention (CISG). Mandatory provisions of the state in which you have your habitual residence remain unaffected.

Place of Jurisdiction

If, contrary to the information provided in your order, you do not have a place of residence in the Federal Republic of Germany, or if you relocate your place of residence abroad after the conclusion of the contract, or if your place of residence is unknown at the time the action is filed, the place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be [registered office of the online shop operator].

Dispute Resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Final Provisions

(1) Should individual provisions of this contract be or become invalid or void, in whole or in part, the validity of the remainder of the contract shall not be affected, provided that neither contracting party is unreasonably disadvantaged thereby.

(2) Amendments or supplements to this contract must be made in writing.
